Services: The bookkeeper will provide general bookkeeping services such as maintaining financial records, budget preparation, payroll and check registers, detailed general ledgers, accounts receivable, bank reconciliation, and providing advice on financial matters.
Client agrees to provide the bookkeeper with full data access to all financial accounts and records and assumes full responsibility for the accuracy of all existing financial records.
Fees: The accountant will be paid $X per hour for their services.
Client also agrees to reimburse the Bookkeeper for any additional expenses incurred including, but is not limited to, mileage, audit fees, tax fees, and postage.
Payment: Unless the Bookkeeper has not performed the Services in accordance with this Agreement, invoices will be paid in full within 30 days of receipt.
Confidentiality: Bookkeeper will have access to Client’s financial records and may learn of Client’s financial affairs, trade secrets and confidential information. The bookkeeper will not share any proprietary information about the business with anyone outside of the company without the consent of the Client.
Relationship of the Parties. The Parties to this Agreement are independent contractors. Neither Party is an agent, representative, partner, or employee of the other Party.
Contract Term: Services will remain in effect on a month-to-month basis. Cancellation of the agreement can happen at any time with written notice.
Limitation of Liability. In no event shall either party be liable to the other party for any damages, including without limitation, business interruption, loss of access to information, or damages related to a loss of profits arising out of the services provided under this Agreement,
Dispute Resolution: Any dispute or claim that is not successfully resolved through negotiation must be resolved by binding arbitration in the State of __________________. This Agreement will be interpreted based on the laws of the State of _________________.
In the event of legal intervention, the prevailing party will be entitled to any legal expenses, including, but not limited to attorney’s fees.
Severability: If any provision of this Agreement is found to be illegal, invalid, or unenforceable under present or future laws, such provisions shall be severable and, the remaining provisions of this Agreement shall remain in full force and effect.
